These Terms of Service (“Terms”) govern your access to and use of www.zgmbsolutions.com and the other websites, pages, and services operated by ZGMB Solutions LLC (“ZGMB Solutions,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

1. About the Site

ZGMB Solutions is a Michigan-based digital holding company that operates affiliate marketing and e-commerce websites, including brands such as GreenTechPlus.com and ZipGuppy.com. The Site publishes information, recommendations, comparisons, and links relating to consumer and green-technology products. Except where expressly stated, ZGMB Solutions does not manufacture, warehouse, sell, ship, or fulfill the products featured on the Site. Purchases are made on third-party vendor websites and are transactions solely between you and that vendor.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that your use complies with all applicable laws.

3. Affiliate disclosure and compensation (FTC)

ZGMB Solutions LLC and the brands it operates, including GreenTechPlus.com and ZipGuppy.com, participate in affiliate marketing programs. The Site contains affiliate links, and we earn commissions or other compensation when you click those links and make a qualifying purchase or take a qualifying action on a third-party website, at no additional cost to you.

Any product recommendations, reviews, rankings, ratings, comparisons, or endorsements on the Site may result in compensation to us. We may also receive free products, discounts, or other consideration from vendors and networks. Compensation, or the possibility of compensation, may influence which products we feature and how they are presented. We nevertheless aim to provide honest, useful information, and our opinions are our own. This disclosure is made in accordance with the U.S. Federal Trade Commission’s guidance on endorsements and testimonials (16 CFR Part 255).

4. Affiliate links, third-party vendors, and outbound links

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. Third-party product images and trademarks remain the property of their respective owners.

7. Submissions

If you send us comments, questions, suggestions, or other material through a contact form or by email (“Submissions”), you grant ZGMB Solutions a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, and act on those Submissions for the purpose of operating and improving the Site and our business. You are responsible for ensuring your Submissions are accurate and do not violate any law or third-party right. Please do not send us confidential information you do not want us to use.

Without limiting the foregoing, ZGMB Solutions makes no representation or warranty that: (a) product descriptions, specifications, pricing, images, availability, reviews, or ratings shown on the Site or on any third-party vendor website are accurate, complete, current, or reliable; (b) any product featured on the Site will meet your expectations or be of satisfactory quality; or (c) the Site will be uninterrupted, secure, or error-free. Any reliance you place on Site content is at your own risk. Because purchases occur on third-party vendor websites, ZGMB Solutions is not responsible for product misrepresentations, defects, safety, warranty claims, pricing errors, order processing, payment handling, shipping, delivery, returns, refunds, or any other aspect of a transaction between you and a third-party vendor.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZGMB SOLUTIONS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATED BRANDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, ANY THIRD-PARTY WEBSITE, OR ANY PRODUCT PURCHASED FROM A THIRD-PARTY VENDOR, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ZGMB SOLUTIONS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID DIRECTLY TO ZGMB SOLUTIONS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you; in that case, our liability is limited to the smallest amount permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZGMB Solutions LLC and its members, managers, officers, employees, contractors, and affiliated brands from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

11. Changes to the Site and these Terms

We may modify, suspend, or discontinue all or part of the Site at any time without notice. We may also update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date, and your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

12. Termination

We may limit, suspend, or terminate your access to the Site at any time, with or without cause or notice. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Michigan, and you consent to personal jurisdiction and venue there. Any claim must be brought within one year after it arises, to the extent permitted by law.

14. General

These Terms, together with the Privacy Policy, are the entire agreement between you and ZGMB Solutions regarding the Site. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any third-party beneficiary rights.
